TIMING: The "Little Debbie Cupcakes Share-a-Thon" Giveaway (the "Giveaway")) begins on September 21, 2009 at 12:01AM Eastern Time ("ET") and ends on March 31, 2010 at 11:59PM ET (the "Promotion Period").

ELIGIBILITY: The Giveaway is open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia who are 18 years of age or older at the time of entry. Employees of the Sponsor, its affiliates, retailers, advertising & promotion agencies, as well as any other entity, or individual, directly associated with this promotion, and the immediate family members (spouse, parents, siblings and children) and/or household members of these entities, are not eligible to participate. All federal, state and local laws and regulations apply.

HOW TO ENTER: To enter, visit www.littledebbiecupcakes.com, follow the links to the Giveaway entry page, complete the entry form with your first and last name, home address, and email address, verify that you are over 18 years of age, and submit.

Limit: One (1) entry per person and/or per email address per day during the Promotion Period. Any additional entries by an individual will be void. All entries must have a valid e-mail address. Incomplete or inaccurate entries shall be deemed void. Determination of information to be false or misleading is at the sole discretion of Sponsor and/or Administrator.

During the Promotion Period, a Weekly Entry Period will run from 12:00 a.m. ET Monday through 11:59 p.m. ET Sunday, or the last day of the Promotion Period (the "Weekly Entry Period").

During the Promotion Period, a Monthly Entry Period will begin on the first day of the month and end on the last day of given month, or the last day of the Promotion Period (the "Monthly Entry Period").

Entries become property of Sponsor and will not be returned. Automated entries are prohibited, and any use of such automated devices will cause disqualification. Sponsor and its affiliates, agents, clients, and/or promotional partners are not responsible for lost, stolen, misdirected, incomplete or late entries, for technical hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete or delayed computer transmissions, which may limit a user's ability to participate in the Giveaway.

PRIZES: Grand Prize: There is one (1) Grand Prize of a Cupcake Car (a Sponsor-customized smart fortwo). The Approximate Retail Value ("ARV") of Grand Prize: $16,990. The value packed, sporty and well-equipped passion coupe includes a panorama roof, alloy wheels, air conditioning with climate control, 3-spoke leather sports steering wheel with shift paddles, power windows, electric and heated side mirrors, and AM/FM radio with CD player. Winner is responsible for vehicle registration, delivery, license, tax, title and insurance fees and for all costs and other expenses related to the acceptance and use of the prize not specified herein.

First Prize: There are twenty-four (24) First Prizes of a one (1) year supply of Little Debbie Cupcakes. First Prizes will be awarded as a booklet of coupons redeemable for one (1) box of Little Debbie cupcakes per week for 52 weeks. ARV of First Prize: $160.68 each.

Second Prize: There are twenty-four (24) Second Prizes of a portable GPS device. Third Prize: There are six-hundred fifty (650) Third Prizes of a collectible scale model of a Cupcake Truck and smart fortwo Cupcake Car. ARV of Third Prize: $11 each.

Fourth Prize: There are one-hundred twenty (120) Fourth Prizes of an MP3 car adapter. MP3 Car Adapter (Black): Play MP3 players and flash drives through a car stereo with this MP3 car adapter. Plug the 40" cord into the vehicle's power outlet and choose from seven open channels to begin enjoying music. Requires no software. ARV of Fourth Prize: $30 each.

Fifth Prize: There are one-hundred twenty-five thousand (125,000) Fifth Prizes of a box of Little Debbie Cupcakes. Fifth Prizes will be awarded as a coupon redeemable for one (1) box of Little Debbie cupcakes. ARV of Fifth Prize: $3.09 each.

Approximate Retail Value of all prizes available to be won: $423,030.32.

PRIZE CONDITIONS: No substitution or transfer of any portion of Prize permitted, except that the Sponsor reserves the right to substitute a prize of equal or greater value in the event that Prize is unavailable. There is no cash substitute for any prize. Federal, state and local taxes are the responsibility of the winner, if applicable. An IRS Form 1099-MISC will be issued to the Grand Prize winner for the Approximate Retail Value of the prize for the 2010 tax year.

DRAWING AND NOTIFICATION: Grand Prize winner will be selected on April 15, 2010 in a random drawing from among all eligible entries received during the Promotion Period. Four (4) First and four (4) Second Prize winners will be selected (each month) in a series of random drawings from among all eligible entries received during each Monthly Entry Period beginning 10/01/09 and ending 03/31/10. Fifty (50) Third Prize winners will be selected (each week) in a series of random drawings from among all eligible entries received during each Weekly Entry Period beginning 01/04/10 and ending 03/31/10. Five (5) Fourth Prize winners will be selected (each week) in a series of random drawings from among all eligible entries received during each Weekly Entry Period beginning 10/19/09 and ending 03/31/10. One-hundred twenty-five thousand (125,000) Fifth Prize winners will be selected on October 18, 2009 in a random drawing from among all eligible entries received between 9/21/09 and 10/17/09. First, Second, Third and Fourth Prize drawings will be held within fifteen (15) days of the end of each entry period. All drawings will be held under the supervision of an Independent Giveaway Administrator (the "IGA"), on behalf of the Sponsor. All non-winning entries from previous drawing will be rolled over into subsequent Weekly or Monthly Entry Periods.

Grand Prize Winner will be notified by phone and/or email, and confirmed in writing via mail or other form of home delivery, within ten (10) days of the drawing. Grand Prize Winner will be required to sign an Affidavit of Eligibility, a Liability Release, and, except where prohibited by law, a Publicity Release (collectively, the "Release Documents"), within seven (7) days of written notification. Return of prize or winner notification as undeliverable, failure to respond to any notification, failure to reach the winner and/or failure to provide required Release Documents in a timely manner may result in disqualification and selection of an alternate winner. Non-winning entrants will not be notified.

Grand Prize winner must take delivery of vehicle from an authorized dealer nearest the winner's residence, subject to Sponsor's approval. Winner must a have valid US driver's license and proof of insurance to take delivery of Grand Prize. All prizes, excluding Grand Prize, will be shipped to the address provided by the winner during Giveaway registration within 4-6 weeks of each corresponding drawing date.

ODDS: Odds of winning will depend on the total number of eligible entries received during each applicable Entry Period.

LIMITATIONS AGAINST LIABILITY: Winners agree that (except where prohibited) Sponsor may use their name, picture, portrait, likeness and voice for advertising and promotional purposes, via any medium of Sponsor's choosing, without further compensation. Sponsor, its promotional and advertising agencies, their respective affiliates and subsidiaries, and their respective officers, directors, employees, representatives and agents shall have no liability and shall be held harmless by winner for any damage, loss or liability to person or property, due in whole or part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize or participation in this Giveaway. Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of this Giveaway should virus, bugs, non-authorized human intervention or other causes beyond Sponsor's control corrupt or impair the administration, security, fairness or proper play of the Giveaway. In such event, Sponsor may award prizes in a random drawing from all eligible entries received up to the date of cancellation or suspension. Sponsor and its promotion and advertising agencies are not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions, whether caused by the Sponsor, users or by any of the equipment or programming associated with or utilized in the Giveaway or by any technical or human error which may occur in the processing of submissions which may damage a user's system or limit a user's ability to participate in the promotion. Sponsor may prohibit an entrant from participating in the Giveaway or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Giveaway by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants, Sponsor, or any of Sponsor's representatives. This Giveaway is subject to federal, state, and local laws.

PRIZES ARE AWARDED AS IS AND WITHOUT WARRANTY, GUARANTEE OR REPRESENTATION OF ANY KIND, EXPRESSED OR IMPLIED (INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.)

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

PRIVACY: Sponsor will be collecting personal data about entrants for the administration of the Giveaway and for purposes of market research. No such personal data will be transferred or sold to any third party except in the following circumstances: when entrant's give permission to do so; when in good faith Sponsor believes the law requires it; under limited circumstances specifically described entrant you when the information is collected; or to contractors for data processing purposes, or to professional advisors, provided that such contractors or professional advisors are restricted from using the information for any purpose other than as described in these Official Rules.
